By selecting 'Accept', you acknowledge that you have read, understood, and agree
to this Customer Agreement.
1. Acceptance
By selecting 'Accept', creating an account, or using talentalign, you ("Customer")
acknowledge that you have read, understood, and agree to this Customer Agreement. If you do
not agree, do not access or use the Service.
2. License and Access
The Provider grants the Customer a limited, non-exclusive, non-transferable, revocable right
to access and use the Platform for internal business purposes during the active subscription
term. All rights not expressly granted are reserved by the Provider.
3. Intellectual Property
All software, algorithms, AI models, documentation, and content within the Platform remain
the exclusive property of the Provider and its licensors. Customer retains ownership of its
uploaded data but grants the Provider a non-exclusive, worldwide license to process that
data solely for operating, maintaining, and improving the Service. No ownership or other
rights are transferred by use.
4. Customer Responsibilities
The Customer is responsible for ensuring all uploaded or submitted data is accurate, lawful,
and authorized, obtaining necessary consent from any individual whose data is provided, and
complying with all applicable data-protection, employment, and privacy laws.
5. Prohibited Use
The Customer shall not reverse engineer, copy, or modify the Platform; use the Service to
infringe intellectual property, privacy, or other legal rights; or upload or distribute
unlawful, defamatory, or infringing content.
6. Fees and No-Refund Policy
All subscription fees are non-refundable once payment is processed. The
Customer acknowledges and agrees that no refunds, credits, or prorated payments will be
issued under any circumstances, including early termination or non-use of the Service.
7. Disclaimer and Limitation of Liability
The Service is provided 'as is' and 'as available.' The Provider makes no warranties, express
or implied, including merchantability, fitness for a particular purpose, or
non-infringement. To the fullest extent permitted by law, the Provider, its affiliates,
officers, and licensors are not liable for indirect, incidental, or consequential damages,
or for loss of profits, data, or goodwill. Under 47 U.S.C. § 230, the Provider is not
responsible for content supplied by users or third parties.
8. Indemnification
The Customer agrees to defend, indemnify, and hold harmless the Provider and its affiliates,
officers, employees, and agents from any claim, damage, or expense arising out of the
Customer's data, use of the Service, or breach of this Agreement.
9. Data Protection
The Provider employs commercially reasonable safeguards for security and confidentiality.
Aggregated or anonymized data may be used for analytics, benchmarking, and service
improvement, consistent with applicable privacy laws.
10. Termination
Either party may terminate this Agreement for material breach with written notice. Upon
termination, the Customer's access will cease, and the Provider may delete Customer data
following a standard retention period.
11. Governing Law
This Agreement is governed by the laws of the State of New Jersey, U.S.A., excluding its
conflict-of-law principles. Any dispute shall be resolved in the state or federal courts
located in Somerset County, New Jersey.
12. Entire Agreement
This Agreement constitutes the entire understanding between the Customer and the Provider
concerning the Service and supersedes any prior agreements or communications.
